Comparing RSUs to stock options by counting units is like comparing salaries in different currencies without checking the exchange rate. The two instruments deliver value on different conditions, get taxed at different moments, and fail in different ways. Whether you are weighing a job offer, choosing between grant types, or just trying to understand what is sitting in your equity portal, the comparison below covers the value math, both taxation timelines, and the scenarios where each one quietly wins.
The Core Difference: A Share vs the Right to Buy One

A restricted stock unit is a deferred share. Vest 1,000 RSUs with the stock at $40 and you own $40,000 of stock, full stop. If the stock has fallen to $25 by then, you own $25,000. The value moves with the price, but it exists at every price above zero. RSUs are compensation with a market-linked amount, which is why mature companies use them: they retain people even when the stock goes sideways.
A stock option is a lever. An option with a $40 strike is worthless at $40 or below, no matter how many you hold. At $80, each one is worth $40 of spread, and a grant of 10,000 has manufactured $400,000 from a doubling. The same doubling would have given the RSU holder in the paragraph above a gain of $40,000 on 1,000 units. Options amplify outcomes in both directions: more upside per grant dollar, and a genuine possibility of zero.
That structural difference drives the psychology and the planning. RSU holders face one real decision: sell at vest or hold. Option holders face a chain of them: when to exercise, how many, ISO AMT modeling, what happens at departure, and how long to hold afterward. The instruments do not just pay differently; they demand different amounts of attention, and the tax code treats them under entirely different timelines, which is section 3.

One row deserves a highlight: out-of-pocket cost. RSUs never ask you for money; options do, at exactly the moments (a job change, a private company with no market) when writing a check for stock you cannot sell feels worst. Grants that look generous on paper go unexercised every year because the cash and tax cost of exercising arrived at a bad time. Options reward holders who plan; RSUs forgive holders who do not.

RSUs tax you once at vest, then treat you like any shareholder. Options concentrate the interesting decisions, and the traps, at exercise.

For options, the big moment is exercise, and it splits by type. NSO spread is wages at exercise, with withholding, after which you hold stock with a stepped-up basis. ISO exercise triggers no regular tax but adds the spread to your alternative minimum tax income, a calculation with its own exemptions, phaseouts, and recovery credit; the full 2026 math lives in our ISO AMT guide. Hold ISO shares two years from grant and one from exercise and the entire strike-to-sale gain is long-term capital gain, the single best tax outcome available in equity compensation.

The Worked Example: 4,000 RSUs vs 10,000 Options
Same company, same day, three futures
Worked example (hypothetical, illustrative round numbers)
A company whose stock trades at $40 offers a senior hire either 4,000 RSUs or 10,000 NSOs struck at $40, each vesting over four years. On paper both are pitched as "$160,000 of equity." Three futures:
Stock drifts to $48 (+20%). The RSUs deliver $192,000 of value; at an illustrative 35% marginal rate, roughly $67,000 of tax as the vests hit, leaving about $125,000. The options carry an $8 spread: $80,000 pre-tax, about $52,000 after wage tax on exercise. The RSUs win by better than two to one, and they would win at any price below roughly $67, where the two packages break even pre-tax.
Stock doubles to $80. RSUs: $320,000 pre-tax. Options: 10,000 × $40 spread = $400,000 pre-tax. The lever has caught up and passed the sure thing, and every dollar of further appreciation widens the gap by $10,000 per point on the options versus $4,000 on the RSUs.
Stock slides to $30 (-25%). RSUs: $120,000, disappointing but real. Options: zero, for the entire four years, with no tax consequence because there was never anything to tax. This is the whole comparison in one line: the RSU holder's bad case is a smaller number, the option holder's bad case is nothing.
The break-even framing generalizes: at-the-money options granted at a 2.5-to-1 ratio to RSUs beat the RSUs only above roughly a 67% stock gain during the holding window. Ask for the actual ratio in your offer and compute your own break-even before assuming the larger unit count is the larger grant.

A framework instead of a coin flip
1. Convert everything to expected dollars under three scenarios.
Ignore unit counts. For each package, compute the value if the stock halves, stays flat, and doubles or triples over your expected tenure, after tax at your realistic rates. RSUs will dominate the first two columns; options may dominate the third. The question the table forces is the right one: how much of your compensation can you afford to have live in the third column?
2. Weight by company stage, not preference.
At a public large-cap, RSUs are near-cash with a vesting delay, and options there are a deliberate volatility bet. At a seed-stage startup, options are usually the only instrument on the table, and the honest expected value calculation includes a substantial chance of zero regardless of instrument. The interesting decisions live in the middle: late-stage private companies, where double-trigger RSUs and options coexist and the IPO timeline drives everything.
3. Price the tax friction into the comparison.
RSU packages lose a predictable slice to ordinary rates at vest, and under-withholding means part of that slice is due in April rather than at vest. Option packages carry contingent frictions: exercise cash, possible AMT on ISOs, and the post-termination window that can force a bad-timing decision. A package you cannot afford to exercise is smaller than it looks.
4. Negotiate the terms, not just the count.
For options, an extended post-termination exercise window (some companies offer years instead of 90 days) can be worth more than 20% more options. For RSUs at private companies, the expiration date on the liquidity trigger matters. For either, vesting schedule and refresh policy shape the real value more than the headline number. These are all askable, and candidates rarely ask.
Where Each Instrument Goes Wrong
The characteristic failure modes
RSU failure mode 1: trusting the 22%.

RSU failure mode 2: accidental concentration.
Because holding vested shares requires no action, people accumulate by default until one ticker is half their net worth. The vest-date tax is identical whether you sell or hold; holding is a fresh investment decision that deserves the same scrutiny as a $50,000 buy order.
Option failure mode 1: the unplanned exercise.

Option failure mode 2: the departure window.
Leaving a company typically starts a roughly 90-day clock to exercise vested options or lose them, plan-specific and sometimes shorter. At a private company that can mean finding six figures of exercise cash plus AMT for shares with no market, on a deadline, during a job change. Reading the post-termination provision before resigning is worth more than most tax advice.
